These Terms of Use (“Terms”) govern your access to and use of the sayin.ai website, platform, and services, including but not limited to AI Voice Agents, Native Dialer, Telephony, Integrations, Observability, Cost Control, and related features (collectively, the “Services”).

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms. Acceptance occurs by clicking “I agree”, creating an account, or otherwise using the Services.

If you are using the Services on behalf of an employer or organization, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms or lack authority, you must not use the Services.

2. Account Registration and Security

Certain features require account registration. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account details
  • Keep login credentials confidential and secure

Each authorized user must have a unique login. Credential sharing is prohibited.

You are solely responsible for all activity conducted through your account. Notify sayin.aiimmediately of any unauthorized access or security breach. sayin.ai is not liable for losses resulting from your failure to safeguard account credentials.

3. User Responsibilities and Acceptable Use

You agree to use the Services only for lawful, authorized purposes and in compliance with all applicable laws and regulations, including but not limited to:

  • Data protection and privacy laws (e.g., GDPR, CCPA)
  • Telecommunications regulations (e.g., TCPA, consent and call-recording laws)

You are responsible for all content you upload, transmit, or process using the Services, including voice recordings, call data, scripts, and text (“User Content”).

You agree not to:

  • Copy, modify, reverse-engineer, decompile, or create derivative works of the Services
  • Rent, sell, sublicense, distribute, or commercially exploit the Services without authorization
  • Remove or obscure proprietary notices or labels
  • Use the Services to violate intellectual property, privacy, consumer protection, or export laws
  • Attempt to gain unauthorized access to systems, networks, or data
  • Use the Services to build or support competing products or services
  • Probe, scan, or test system vulnerabilities without prior written consent

Violation of this section may result in immediate suspension or termination.

4. Subscription Plans, Fees, and Billing

Certain Services require a paid subscription. Pricing, billing cycles, and payment terms are provided during the ordering process.

You agree to:

  • Pay all applicable fees when due
  • Maintain valid payment information

Failure to pay may result in suspension or termination of Services. Fees are non-refundable unless expressly stated otherwise in writing.

5. Intellectual Property Rights

All software, technology, documentation, interfaces, and content provided by sayin.ai (the “Materials”) are owned by sayin.ai or its licensors and are protected by intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely in accordance with these Terms. No ownership rights are transferred.

You retain ownership of all data, recordings, and content submitted through the Services (“Your Data”).

You grant sayin.ai a worldwide, royalty-free license to access, store, process, and use Your Data solely to:

  • Provide and operate the Services
  • Maintain, secure, and improve the platform
  • Comply with legal obligations

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

  • sayin.ai SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES
  • INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION

IN NO EVENT SHALL sayin.ai’S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY YOU TO sayin.ai IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless sayin.ai and its affiliates, officers, employees, and agents from any claims, damages, liabilities, losses, and expenses arising from:

  • Your misuse of the Services
  • Your violation of these Terms
  • Your violation of applicable laws or third-party rights

11. Suspension and Termination

  • Misuse or abuse of the Services
